Terms of Use
These terms govern access to the PA Deal Exchange marketplace, deal rooms and buyer platform.

Nature of the service
- PA Deal Exchange markets and assigns its own equitable interest in real estate purchase contracts, or facilitates simultaneous closings where required.
- We are not a licensed real estate brokerage and do not represent buyers or sellers in a brokerage capacity.
- Nothing on this site or in the buyer platform constitutes legal, tax, accounting or investment advice.
Non-reliance and independent diligence
- All information presented — including after-repair values, repair estimates, comparable sales, spreads, zoning, tax, ownership and title status — consists of non-binding estimates and third-party data provided for discussion purposes only.
- Property is offered strictly as-is, where-is, with all faults. No warranty of condition, habitability, value or achievable return is made or implied.
- You are solely responsible for your own inspection, contractor bids, title review, zoning verification, permitting research and financial analysis.
- You agree that you are not relying on any statement, estimate, photograph or document provided by PA Deal Exchange in deciding to purchase.
Account eligibility and accuracy
- You must be at least 18 years old and legally able to enter contracts in Pennsylvania.
- Information you provide during application and verification must be accurate and current, including proof of funds and lender approvals.
- Submitting falsified, stale or third-party financial documentation is grounds for immediate removal.
Confidentiality and anti-circumvention
- Deal-room content — including exact addresses, photographs, field reports, comparable sales, documents and seller information — is confidential and provided solely for your evaluation.
- You may not redistribute, republish, resell or daisy-chain deal information outside your own organization.
- You may not contact a seller directly, or through an affiliate, regarding any property introduced through the exchange, for the duration of our contract and for 12 months following its termination.
- These obligations survive termination of your account.
Offers, earnest money and assignment
- Submitting an offer or buy-now commitment is a good-faith indication of intent and does not itself create a binding purchase obligation until an assignment agreement is executed.
- Once an assignment is executed, earnest money is generally non-refundable and must be delivered to the designated title company by the stated deadline.
- Failure to fund earnest money or close within the stated window may result in release of the property to a backup buyer, forfeiture of deposit as provided in the agreement, and account status changes.
- Price retrading absent a material undisclosed defect is prohibited and may result in removal.
Acceptable use
- Do not scrape, mirror, or bulk-extract listing or buyer data from the platform.
- Do not attempt to access accounts, documents or records you are not authorized to view.
- Do not use the platform to transmit unlawful, deceptive or infringing material.
Limitation of liability
- To the maximum extent permitted by Pennsylvania law, PA Deal Exchange is not liable for indirect, incidental, consequential or punitive damages, or for lost profits arising from use of the platform or any transaction.
- Where liability cannot be excluded, it is limited to the assignment fee actually paid to us on the transaction giving rise to the claim.
Changes and governing law
- We may update these terms; material changes will be communicated to registered buyers.
- These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles.
